These terms govern access to the Monvera Platform, use of an account and interaction with our products and partner services.

Scope

These terms apply to the Monvera Platform and the digital services made available through it.

They apply to visitors, registered users and natural or legal persons using an account, product or platform function.

Additional terms may apply to individual products, paid services or external partner services. They will be made available before the relevant use or purchase.

The Monvera Platform

Monvera Finance UAB develops and operates the technical Monvera Platform. Various digital products such as Banking, Travel and Freelancer, as well as future services, may be bundled under the Melika brand.

Features, availability and requirements may differ depending on the product, country, user group and integrated partner.

Not a bank or payment institution

Monvera Finance UAB is not itself a bank or licensed payment institution. Regulated financial services are offered and provided exclusively by appropriately licensed partners.

Accounts and registration

Certain functions may only be used after creating a personal or business account.

Requirements

What may be required

  • Complete and accurate registration information
  • A valid and accessible email address
  • The legally required minimum age
  • Legal capacity or authority to represent an organisation
  • Required identity or company evidence
  • Acceptance of these and any additional terms

Your responsibility

Protecting and maintaining your account

  • Keep login details confidential and secure
  • Do not share personal accounts
  • Keep information accurate and current
  • Report suspicious activity without delay
  • Do not circumvent security checks or verification
  • Use the account only within the permitted scope

You are responsible for activities performed through your account to the extent they can legally be attributed to you. Inform us immediately if you suspect unauthorised access.

Contract formation and products

Formation of a contract

The presentation of functions or products does not automatically constitute a binding offer. A contract is formed when we confirm an order or registration, activate a service or expressly state this during the relevant purchase process.

Product-specific terms

The scope, term, price, cancellation rules and requirements of a product are set out in its product description and the terms displayed when it is purchased.

Electronic communication

Contract-related communications may be provided electronically through the platform or by email. You are responsible for maintaining a reachable contact address.

Prices and payments

Paid functions will be identified before purchase with the applicable price, billing period and material payment terms.

Taxes, fees, currency conversion or costs charged by external partners may apply where this is disclosed before purchase or use.

No charge without a clear purchase

Registration for a free account does not create a paid order unless this is expressly displayed and confirmed during registration.

Partner services

Certain functions are technically integrated or independently provided by external providers.

  • Banking and payment services from licensed financial partners
  • Payment processing and billing
  • Identity and company verification
  • Travel, booking or intermediary services
  • Insurance or supplementary services
  • Other product-related external services

A separate contract may arise between you and the relevant partner. Monvera is the service provider only where this is expressly stated for the product.

Partner terms

Partner services may be governed by their own contractual, pricing, privacy, cancellation and complaint rules. These must be reviewed before using the relevant service.

Permitted use

The platform may only be used lawfully, securely and for its intended purpose. In particular, you must not:

  • Use false identities, information or documents
  • Use another person's account without authorisation
  • Violate laws, sanctions or third-party rights
  • Facilitate fraud, money laundering or other misuse
  • Deploy malware, automated attacks or disruption
  • Circumvent security mechanisms or access restrictions
  • Extract or reproduce content or data without permission
  • Use the platform for unlawful, deceptive or harmful purposes

Where there is a reasonable suspicion of misuse, we may take proportionate verification, protection and restriction measures.

Content and usage rights

Content provided by you

You retain rights in content you provide through the platform. You grant us the rights required to store, technically process, display and provide that content in accordance with the contract and confirm that you are authorised to do so.

Platform and brands

The software, designs, texts, logos, trademarks, databases and other platform elements are legally protected. You receive only a limited, non-transferable right to use them in accordance with the contract.

Availability and changes

We aim to provide a secure and stable service, but uninterrupted availability at all times cannot be guaranteed. Restrictions may arise from:

  • Maintenance and security updates
  • Technical faults or necessary error correction
  • Failures of networks, hosting or partner services
  • Legal, regulatory or official requirements
  • Security risks, misuse or force majeure
  • Development, replacement or discontinuation of functions

We will provide reasonable notice of material planned changes where possible and legally required.

Security and verification

We may use security checks, verification, access restrictions and other proportionate measures to protect accounts, users and platform services.

You agree to follow reasonable security instructions and not to manipulate or circumvent technical protection measures.

Liability

We remain liable under mandatory law, particularly for intent, gross negligence, death, personal injury and other cases in which liability may not legally be excluded.

To the extent permitted by law, we are not liable for damage caused exclusively by external partners, incorrect user information, misuse, systems outside our control or unavoidable technical events.

For a slightly negligent breach of material contractual duties, liability may, where permitted by law, be limited to typically foreseeable loss.

Mandatory rights remain unaffected

Nothing in these terms excludes rights or claims that cannot be excluded or restricted under applicable consumer or other mandatory law.

Suspension and termination

  • You may terminate your account using the options available within the platform or request its closure.
  • Paid products may have different terms and notice periods.
  • We may temporarily restrict functions where required for security, legal or misuse-related reasons.
  • Either party may terminate for material cause where legally permitted.
  • Legal retention duties may prevent the immediate deletion of certain data.

Upon termination, the right to use the affected functions ends. Provisions intended by their nature to continue remain effective.

Changes to these terms

We may amend these terms where functions, legal requirements, security requirements or the structure of our services change.

We will provide reasonable notice of material changes. Where required by law, we will obtain express consent or provide a right to terminate.

Applicable law and disputes

To the extent permitted, the laws of the Republic of Lithuania apply, excluding its conflict-of-law rules.

For business users, Vilnius may be agreed as the place of jurisdiction where legally permitted. Statutory jurisdiction rules apply to consumers.

Consumer protection

A choice of law does not deprive consumers of mandatory protection available under the law of their habitual residence where applicable.

Final provisions and contact

If a provision is invalid or unenforceable, the remaining provisions remain unaffected. The applicable statutory rules replace the invalid provision.
